Terms of Use
In case of any discrepancy, the Arabic version of these Terms, together with your invoice, prevails (per Egyptian legal requirements).
ZENTOS Terms of Use
Version: 2.0 · Effective Date: 8 August 2026
1. Who We Are
These Terms of Use (the "Terms") are a legally binding agreement between you and:
- Company Name: ZENTOS LLC ("ZENTOS", "we", "our")
- Contact: [email protected] | +20 3 524 9976
They are drafted to comply with the Egyptian Consumer Protection Law No. 181 of 2018 and its Executive Regulations (the "CPL") and, for personal data, the Personal Data Protection Law No. 151 of 2020 and its Executive Regulations (the "PDPL").
2. Definitions
- Products: ZENTOS connected hardware devices, including their embedded firmware.
- App: the ZENTOS mobile application.
- Services: the App, our cloud infrastructure and backend systems, and the connected features they provide for the Products.
- Privacy Policy: the ZENTOS Privacy Policy, which is incorporated into these Terms by reference and explains how we process personal data.
- You: the person accepting these Terms, whether purchasing for personal, household, or business use.
3. Acceptance and Remote Contracting
You accept these Terms by ticking the acceptance box presented when you create a ZENTOS account or place an order. We keep a record of your acceptance. If you do not agree to these Terms, please do not register or purchase.
By the same action you acknowledge the Privacy Policy, which describes how your consent to data processing is collected and how you can withdraw it. Purchasing our Products online or registering through electronic means constitutes a "remote contract" under the CPL, and you enjoy all the rights the CPL grants for distance selling (Sections 7–11).
4. Eligibility and Your Account
4.1. You must be at least 18 years old and legally capable of entering into contracts.
4.2. You agree to provide accurate, current registration information and to keep it updated.
4.3. Keep your login credentials confidential and secure your home Wi-Fi network. You are responsible for activity under your account, except to the extent it results from our failure to meet our security obligations. Notify us immediately at [email protected] of any suspected unauthorized use.
4.4. Business customers. We welcome purchases for business use. The Sections of these Terms that implement the CPL apply to purchasers who qualify as consumers under that law; where you purchase for professional or commercial purposes outside that definition, we still honor the Warranty in Section 9 as a contractual commitment.
5. Language
These Terms are issued in Arabic and English. In the event of any discrepancy, the Arabic version, together with your invoice, prevails, in accordance with Egyptian legal requirements.
6. Products, Pricing, and Invoicing
6.1. Product specifications. We publish clear and accurate technical specifications for each Product before purchase. Before installing, make sure your electrical infrastructure (for example, neutral wire availability and load limits) meets the stated requirements, or use a ZENTOS-authorized installer (Section 12.1).
6.2. Pricing. All prices are presented in Egyptian Pounds (EGP) and include Value Added Tax (VAT) and any other legally mandated fees. Shipping and installation costs, where applicable, are itemized before checkout.
6.3. Invoicing. For every transaction we automatically issue a detailed electronic invoice to your registered email. It serves as your proof of purchase and includes the details required by the CPL, including the Product's stated operational lifetime, its warranty period, our contact information, and the return policy.
7. Delivery and Risk
We state the estimated delivery window before you confirm your order. Ownership of and risk in the Products pass to you on receipt.
If we exceed the agreed delivery date (or, where no date was agreed, thirty (30) days from your order), you may cancel the order at no cost after notifying us, and we will refund everything you paid promptly and bear any return costs, as the CPL provides.
8. Amending or Withdrawing From Your Order
8.1. Amendment. You may correct or modify your order within seven (7) working days from our acceptance of it, in the manner specified by the CPL's Executive Regulations. If the order has already been dispatched, your withdrawal and return rights below continue to apply.
8.2. Withdrawal (14 days, no reason needed). You may withdraw from a remote contract and return the Product within fourteen (14) days from the date you receive it, without giving any reason. The Product must be returned complete, with its accessories and packaging, in the condition in which you received it. This right lapses in the cases set out in the CPL, for example Products made to your specifications, sealed software or media you have opened, or defects caused by mishandling after receipt.
You bear the cost of return shipping for a no-reason withdrawal, unless we state otherwise for a specific offer. We refund the amount you paid using the same payment method within seven (7) days of receiving the returned Product.
8.3. Defective or non-conforming Products (30 days). If the Product is defective, does not match the agreed specifications, or is unfit for its intended purpose, you may return or exchange it within thirty (30) days from receipt, free of any shipping or handling charges. We will exchange the Product or refund you via the original payment method within one week of your request, as the CPL requires. If we disagree about the defect, you may refer the matter to the Consumer Protection Agency (the "CPA"), whose decision is binding.
8.4. How to exercise these rights. Contact us at [email protected] or through the App, quoting your invoice number.
9. Warranty
9.1. Scope. ZENTOS warrants each Product against manufacturing defects for the warranty period stated on your invoice and in the Product documentation. That period is never shorter than the minimum warranty the CPL requires for durable goods, and nothing in these Terms reduces your statutory warranty rights.
9.2. When the period starts. The warranty period runs from your receipt of the Product. Where the Product is installed by ZENTOS or a ZENTOS-authorized installer, the period runs instead from the date of actual installation, within the limits the CPL sets, and we will issue you a receipt recording the installation date.
9.3. What the warranty covers. The warranty covers inspection, examination, and repair, original spare parts, and, where repair away from your premises is needed, technician travel and transport of the Product to and from the service center, including reinstallation and re-operation costs.
9.4. Recurring defects. If the same defect recurs within the limits prescribed by the CPL in a way that materially affects the Product's performance, we will replace the Product with a new one of the same type and specifications, or refund its value, at no cost to you.
9.5. Exclusions. The warranty does not cover a defect to the extent it results from misuse, failure to follow the installation or usage manuals, unauthorized modification or repair, or external causes unrelated to manufacturing. These exclusions never reduce the obligations the CPL places on us.
9.6. Claims. Submit warranty claims through [email protected] or the App. Warranty service is provided through our authorized service centers in Egypt. Throughout the warranty period, we remain responsible for the quality and safety of the Product as contracted.
10. Spare Parts and Maintenance
We guarantee the availability of spare parts and maintenance services for each Product throughout its stated operational lifetime (as shown on the invoice or Product documentation), through authorized service centers in Egypt.
11. Product Safety and Recalls
If we discover a safety defect or potential hazard in any Product, we will immediately suspend its sale, notify the CPA within seven (7) days, announce the issue publicly, and carry out a recall, repair, or replacement protocol at no cost to you, in accordance with the CPL and its Executive Regulations.
12. Your Obligations and Acceptable Use
12.1. Installation. Install Products in accordance with the ZENTOS manuals. Wired Products (such as thermostats and in-wall dimmers) must be installed by a ZENTOS-authorized installer or a qualified electrician. Do not bypass enclosures or alter the internal electronics; Section 9.5 explains how this affects the warranty.
12.2. No tampering or attacks. Do not reverse engineer the firmware or the App except to the extent mandatory law permits, and do not attempt to disrupt, overload, or gain unauthorized access to the Services.
12.3. User content. Where the Services let you enter content (such as names for rooms, profiles, or automations), do not enter content that is illegal, offensive, defamatory, discriminatory, or that infringes the rights of others. You grant ZENTOS a non-exclusive license to store, process, and display that content solely to operate the Services for you. We may remove content that violates this Section.
13. Suspension, Termination, and Closing Your Account
13.1. Serious violations. We may suspend or terminate your account immediately for serious violations: attacks on the Services, fraud, or illegal content or use.
13.2. Other breaches. For other breaches capable of remedy, we will notify you in writing, describe the breach, and give you fourteen (14) days to remedy it before we suspend or terminate.
13.3. Effect on your devices. If your account is terminated, physical devices continue to function as basic manual switches (where applicable), but remote access, automations, and cloud-dependent features are disabled. Any amounts you prepaid for services not yet delivered will be refunded pro rata. Your personal data is handled as described in the Privacy Policy (Section 10 there).
13.4. Contesting a decision; closing your account. You may contest a suspension or termination at [email protected]. You may close your account at any time in the App or by contacting support.
14. Selling or Transferring Your Devices
Before you sell, transfer, or dispose of a ZENTOS device (or a property containing installed devices), perform a factory reset and unlink the device from your account. ZENTOS is not responsible for unauthorized access to your data or home controls to the extent it results from your failure to reset and unlink before the transfer, without prejudice to any rights that cannot be limited under Egyptian law.
15. Intellectual Property and License
All software, firmware, interface designs, logos, trademarks, and documentation in the Products and Services are the intellectual property of ZENTOS or its licensors, protected by Egyptian and international law.
We grant you a non-exclusive, non-transferable license to use the software as embedded in or provided with the Products and Services, for your own use, including internal business use where you purchased for your organization. The embedded firmware license passes with lawful ownership of the device. Commercial redistribution, resale of the software, or integration of ZENTOS software or branding into other platforms requires our prior written approval.
16. Service Availability, Updates, and Product Lifecycle
16.1. Availability. We aim for continuous availability but may temporarily suspend the Services for maintenance, with advance notice where practicable.
16.2. OTA updates. We periodically push over-the-air firmware updates to improve security, fix bugs, and maintain hardware stability. By using the Services you consent to the automatic installation of critical security updates.
16.3. Lifecycle and end of support. We provide security updates, spare parts, and maintenance for each Product at least throughout its stated operational lifetime (Section 10). We will announce the end of support for any Product model at least six (6) months in advance and maintain a published list of affected models. After the announced date and the end of the stated lifetime, the Product may continue to operate but will no longer receive updates or new features; Section 18 governs liability.
16.4. Beta features. We may offer optional, clearly labeled experimental software features. They are provided as available, may change or be withdrawn at any time, and are used at your choice. Your statutory rights, including the Warranty in Section 9 and our safety obligations for hardware, are unaffected.
17. Third-Party Services
The Services may interoperate with third-party platforms you choose to connect. We do not control them and do not guarantee their availability; your use of them is governed by their own terms, and the data you authorize us to share with them is handled as described in the Privacy Policy.
18. Liability
18.1. What is never limited. Nothing in these Terms excludes or limits any liability that cannot be excluded under Egyptian law, including: (a) death or personal injury caused by defective Products or by our negligence; (b) fraud or gross negligence; (c) our obligations under the CPL, any reduction of which is void by law; and (d) your rights under the PDPL.
18.2. Indirect damages. Subject to Section 18.1, ZENTOS is not liable for indirect, incidental, special, or consequential damages, including loss of profits or loss of data.
18.3. Cap. Subject to Section 18.1, ZENTOS's total liability for direct damages arising out of or relating to a Product or Service is limited to the amount you paid for that Product or Service.
18.4. Illustrations. Subject to Section 18.1, ZENTOS is not liable for: inability to control devices remotely caused by internet service provider outages or failures of your local Wi-Fi network; or damage to the extent caused by installation contrary to the manuals by persons who are not qualified or authorized (Section 12.1).
19. Indemnification
You agree to compensate ZENTOS for losses, damages, and reasonable costs arising from third-party claims caused by your unlawful use of the Products or Services, your breach of these Terms, or your infringement of third-party rights, except to the extent the claim results from ZENTOS's own acts or omissions.
20. Force Majeure
ZENTOS is not liable for failure or delay in performing its obligations caused by events beyond its reasonable control, including strikes, natural disasters, national internet infrastructure outages, supply chain disruptions, or governmental actions. Our obligations are suspended for the duration of the event. Amounts already due remain payable.
21. Changes to These Terms
We may update these Terms. For material changes, we will notify you by email or in-app notice at least fourteen (14) days before the change takes effect. If you do not agree to an updated version, you may close your account before the change takes effect; continuing to use the Services afterward constitutes acceptance. Orders already placed remain governed by the Terms in force when you placed them.
22. General Provisions
22.1. Severability. If any provision of these Terms is held invalid or unenforceable by a competent court, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.
22.2. No waiver. Our failure to enforce any provision is not a waiver of future enforcement. Any waiver must be in writing and signed by an authorized representative of ZENTOS.
22.3. Entire agreement. These Terms, the Privacy Policy, and your invoice constitute the entire agreement between you and ZENTOS for the Products and Services, without prejudice to your statutory rights.
22.4. Assignment. You may not assign your rights under these Terms without our written consent. ZENTOS may assign these Terms to an affiliate or successor, provided your rights are not reduced.
22.5. Notices. We send notices to your registered email address; you can send notices to [email protected] (Section 1).
22.6. Survival. Sections that by their nature should survive termination (including Sections 9, 14, 15, 18, 19, and 23) survive it.
23. Governing Law and Disputes
These Terms are governed by the laws of the Arab Republic of Egypt. Disputes arising out of or relating to these Terms are subject to the jurisdiction of the competent Egyptian courts, including the Economic Courts where the law assigns jurisdiction to them. You may also submit complaints to the Consumer Protection Agency (CPA) at any time; this contract does not limit any venue or remedy the law grants you.
End of Terms of Use. See the ZENTOS Privacy Policy for how we handle personal data.
